Limited Liability Partnership (LLP) Registration in India

A Limited Liability Partnership combines the operational flexibility of a partnership with the liability protection of a company, governed by the Limited Liability Partnership Act, 2008. It has become the structure of choice for professionals, consultants, and service-based startups who want formal recognition without the compliance overhead a private limited company carries.

What is a LLP

An LLP is a hybrid business structure where each partner's liability is limited to their agreed contribution, and the entity itself holds a separate legal identity distinct from its partners. Formed by two or more partners, it carries perpetual succession, continuing to exist regardless of changes among its partners — a meaningful departure from a traditional partnership, where partners remain personally liable for business debts.

Core Features

An LLP can own property, enter contracts, and sue or be sued in its own name, and partners are shielded from personal liability arising from the misconduct or negligence of their co-partners. Management stays flexible, with partners running the business directly rather than through formal board structures, and there is no minimum capital requirement — an LLP can be formed with whatever contribution the partners agree on.

Who Can Register an LLP

Registration requires a minimum of two partners, at least two of whom must be designated partners, with one designated partner being an Indian resident. Partners can be individuals or body corporates, and there is no upper limit on the total number of partners an LLP may have.

Advantages Worth Considering

Limited liability keeps partners' personal assets outside the reach of business creditors, and the overall compliance load is considerably lighter than for a company, translating into lower ongoing cost. There is no minimum capital requirement, and taxation follows partnership principles, avoiding the dividend distribution tax that applies to companies. Profit-sharing ratios are also left to the partners to define through the LLP Agreement, rather than following a fixed statutory formula.

Where an LLP Is More Limited

Raising equity funding is difficult under this structure, since LLPs cannot issue shares in the way companies can, and compliance — while lighter than a company's — remains heavier than a sole proprietorship's. Some investors and larger clients also perceive LLPs as less institutionally robust than companies, and rapid scaling can eventually necessitate conversion into a private limited company.

Registration Process

Registration begins with a Digital Signature Certificate for all designated partners, followed by a Designated Partner Identification Number for each of them. Name reservation is filed through the RUN-LLP form on the MCA portal, with the proposed name required to be unique, free of trademark conflicts, and ending in "LLP."

The incorporation itself is filed through the FiLLiP form, covering partner details, registered office address, and capital contribution. Within 30 days of incorporation, the LLP Agreement must be executed and filed, setting out the rights and duties of partners, the profit-sharing ratio, and the management structure. Once the Registrar approves the filing, a Certificate of Incorporation is issued, formally establishing the LLP.

Documents Required

Category

Documents

Partners

PAN, Aadhaar or passport, address proof (bank statement or utility bill), passport-size photographs

Registered office

Rent agreement or ownership proof, NOC from property owner, utility bill

Additional

LLP Agreement, consent of partners

Timeline

Registration is generally completed within 7 to 10 working days, though delays commonly arise from incorrect documentation, name rejection due to a conflict with an existing entity, or errors in the FiLLiP filing itself.

Ongoing Compliance

LLPs must file an annual return in Form 11 and a statement of accounts in Form 8, maintain proper books of accounts, and file income tax returns each year. An audit becomes mandatory only where turnover exceeds ₹40 lakh or capital contribution exceeds ₹25 lakh — below these thresholds, the LLP is exempt from statutory audit.

Who Should Choose an LLP

This structure suits professionals such as lawyers, chartered accountants, and consultants, small and medium businesses, service-based startups, and family-run businesses that value flexibility and lower compliance over the fundraising capacity a company offers.

Where LLPs Commonly Run Into Trouble

A poorly drafted or missing LLP Agreement, a name that doesn't meet MCA naming requirements, missed filing deadlines for Form 11 or Form 8, and general neglect of ongoing compliance are the recurring issues that create avoidable friction for an otherwise low-maintenance structure.

Why LLPs Remain a Popular Choice

Ease of doing business, a comparatively light compliance burden, meaningful legal protection for partners, and flexibility in day-to-day management together explain why the LLP structure has become a default choice for a wide range of professional and small-business ventures in India.

Can an LLP raise equity funding like a company? Not in the same way — LLPs cannot issue shares, which limits their fundraising options compared to a private limited company.
